Introduction

Establishing the CEC NDA is, besides you registering to the CEC Scheme via this website, and your application for participating in the CEC Scheme being approved, the crucial prerequisite for your company's participation in the CEC Scheme.

Please note that we do not support custom NDAs. Requests for change of wording, adding or removing clauses, and especially change of applicable law and venue are not entertained.

Download the applicable CEC NDA template using one of the two links below:

Open the downloaded NDA form

Open the downloaded file using Microsoft Word.

Note that some web-browsers allowing opening Word forms, but usually offer only limited functionality.

Complete the fields

Complete the blue fields on pages 1, 5, and 6 of the NDA form. Do not sign the NDA at this stage.

Do not print or convert to PDF format the NDA form. You need to return to us the Word file, with the only modification being the requested information entered into the blue fields.

Agreeing to the Non-bribery clause is recommended but not required to participate in the CEC Scheme. Independent of agreeing to this clause, any attempts at bribery that become known to us will be forwarded to the applicable legal authorities and Mastercard.

Save the file as a Word file and e-mail it to contact@cecocert.com, with the subject line:

  • "CEC NDA COMPANYNAME for signature"
  • replacing COMPANYNAME with the name of your company.

In the e-mail, advise that you would like to proceed with the CEC NDA and provide the name, title, and e-mail address of the signatory for your company.

If your company requires that two representatives of your company sign the NDA, please advise accordingly and provide name, title, and e-mail address of both signatories in the e-mail. We will then adjust the form accordingly.

If your company cannot sign via docusign.com, please advise accordingly in the e-mail if you want to manually sign the NDA, or sign a PDF electronically.

If you want to be notified of the docusign process being initiated, for example if you want to follow up with your signatory, please advise us accordingly in the e-mail you are sending us the NDA form with. In this please remember that the copy you receive is not for signature, and that your signee receives a different copy.

Signing process

Default - via docusign.com

By default we will send the NDA for signature via docusign.com.

Your signatory will receive the NDA for signature first. Once your signatory has signed, docusign will forward the document automatically to us for signature. Once we have countersigned, both parties will receive a copy of the NDA.

Manual signature method

If you advise us that you need to sign manually, then we will send you a PDF of the NDA.

Please then:

  • print the NDA,
  • have it manually signed by a legal representative of your company, then
  • scan it back into your computer
  • e-mail it to contact@cecocert.com with the subject line:
    • "CEC NDA signed by COMPANYNAME"
    • replacing COMPANYNAME with the name of your company.

Electronic signature method

If you advise us that you need to sign the NDA by electronically signing a PDF, then we will send you a PDF of the NDA.

Please then:

  • have the form electronically signed by a legal representative of your company using the signature field by right-clicking the Signature field in the "For Vendor" column on page 5 and choosing the "Certify ..." option.
  • Do not use the "Sign ..." function of the PDF reader/editor instead of the "Certify ..." function, as "Sign" locks the document against further changes, and thus makes it impossible for us to countersign the NDA electronically.
  • e-mail it to contact@cecocert.com with the subject line:
    • "CEC NDA signed by COMPANYNAME"
    • replacing COMPANYNAME with the name of your company.

FAQs

A couple of questions come up frequently with respect to NDAs, and while please forgiving us for the laziness to not answer them again and again by e-mail, please find our standard answers to them below:

Why require identification as "confidential", could the NDA not simply cover "all information"?

Various courts have struck down NDAs as invalid, because they defined confidential information too broadly, eg trying to cover all information exchanged through a "catch-all" term.

Can we have our company location as applicable law and venue?

The CEC Scheme is developed to be economic and operate at a reasonable cost. This does not allow for managing the risk of court cases in multiple legislations and locations.

Can we have a third location as applicable law and venue?

No, for the same reason as stated above. In addition we often experienced that where "third location different from yours and ours" where proposed, the proposing party had a subsidiary (and probably lawyers) in that "third location" and we did not.

Can we reword clauses because our lawyer would like it differently?

No, for the same reason as stated above. Unless there are sustained concerns that a clause is not valid or misses its intent, we will not entertain discussions about rewording clauses.

The NDA form does not work with my Word version. What shall I do?

E-mail contact@cecocert.com and in the e-mail provide the information that would be entered into the blue fields in the NDA form. If you cannot even open the file, then let us know and we will query the necessary information from you.

We will then prepare the document for signature using the information you provided.

I found an error or mistake in the NDA form. What shall I do?
