X1200 - CEC NDA Download
Introduction
Establishing the CEC NDA is, besides you registering to the CEC Scheme via this website, and your application for participating in the CEC Scheme being approved, the crucial prerequisite for your company's participation in the CEC Scheme.
Please start with downloading the NDA form:
Download the form
Download the CEC NDA template using this link:
Open the downloaded PDF form
Open the download file using a PDF Editor or PDF Reader that is capable of editing fields in a PDF Form, such Adobe Acrobat Reader DC.
Note that some web-browsers allowing opening PDF forms, but usually offer only limited functionality, for example the date picker fields are often not working properly.
Complete the fields
Complete the fields on page 1 and page 4 of the PDF based NDA form, with the exception of the two signature fields on page 4, and the "Date signed:" field in the "For TruCert" column on page 4.
Next you can either proceed with manual signature, or with electronic signature:
Manual signature method
- print the form,
- have it manually signed by a legal representative of your company, then
- scan it back into your computer
Electronic signature method
- have the form electronically signed by a legal representative of your company using the signature field by right-clicking the Signature field in the "For Vendor" column on page 4 and choosing the "Certify ..." option.
- Do not use the "Sign ..." function of the PDF reader/editor instead of the "Certify ..." function, as that locks the document against further changes, and thus makes it impossible for us to countersign the NDA electronically.
Submission to CEC
Once you have available electronically the NDA legally signed by your company, either scanned or electronically signed, e-mail it as an attachment to contact@cecocert.com, with the subject line of the e-mail set to:
- CEC NDA signed by [CompanyName]
- please replace [CompanyName] in the above example with the legal name of your company
FAQs
A couple of questions come up frequently with respect to NDAs, and while please forgiving us for the laziness to not answer them again and again by e-mail, please find our standard answers to them below:
Why require identification as "confidential", could the NDA not simply cover "all information"?
Various courts have struck down NDAs as invalid, because they defined confidential information too broadly, eg trying to cover all information exchanged through a "catch-all" term.
Can we have our company location as applicable law and venue?
The CEC Scheme is developed to be economic and operate at a reasonable cost. This does not allow for managing the risk of court cases in multiple legislations and locations.
Can we have a third location as applicable law and venue?
No, for the same reason as stated above. In addition we often experienced that where "third location different from yours and ours" where proposed, where the proposing party had a subsidiary (and probably lawyers) and we did not.
The PDF form does not work with my PDF reader or editor. What shall I do?
We test the PDF form with Adobe Acrobat Reader DC, and with the PDF-XChange Editor. In case you use another program and encounter problems, please try using Adobe Acrobat Reader DC. If you encounter issues with Adobe Acrobat Reader DC, then please let us know via an e-mail to contact@cecocert.com and we will try to help you completing this form.
I found an error or mistake in the NDA form. What shall I do?
Please e-mail contact@cecocert.com and let us know of the error or mistake you identified. We will correct the error and provide you an updated form. Many thanks in advance!
